Welcome to Prgenix (“Company”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website store.prgenix.com, including the purchase and use of digital products, templates, tools, and professional compliance services offered by us.

By purchasing, downloading, or availing our services, you (“Customer”, “User”, “You”) agree to be legally bound by these Terms, along with our Privacy Policy and Refund & Return Policy included herein. If you do not agree, please refrain from using our website or services.

2. Eligibility

By accessing our website or purchasing our products/services, you confirm that you:

  1. Are at least 18 years of age or contracting with due legal capacity under the Indian Contract Act, 1872.
  2. Are using our website in compliance with all applicable Indian laws, including the Information Technology Act, 2000, Consumer Protection (E-commerce) Rules, 2020, Digital Personal Data Protection Act, 2023 (DPDP Act), and GST Act, 2017.

3. Products & Services

  1. Digital Products: We sell digital templates, tools, checklists, and compliance resources. These are delivered via instant download after successful payment.
  2. Professional Services: We also provide filing, advisory, audit, and compliance support (such as EPR, ESG, CERT-IN, ISO, NABL, DPDP, BRSR, and other related filings) on an hourly or project basis.
  3. No Physical Deliveries: Unless explicitly mentioned, no physical items will be shipped.

4. Pricing & Taxes

  1. All prices displayed are in Indian Rupees (INR) and are inclusive/exclusive of GST as applicable.
  2. We issue GST-compliant invoices for all purchases.
  3. Prices are subject to change without prior notice.
  4. Any additional statutory levies, cess, or taxes imposed by law will be borne by the customer.

5. Payments

  1. Payments must be made in full through the payment gateways integrated on our website.
  2. We accept UPI, Debit Cards, Credit Cards, Net Banking, and other RBI-authorised digital payment methods.
  3. Transactions are processed securely via third-party payment processors. We do not store payment card details.

6. Delivery of Digital Products

  1. Upon successful payment, digital downloads are made available instantly via the user account and/or email.
  2. Since digital products can be copied/downloaded immediately, all purchases are final and non-refundable.
  3. Customers are responsible for ensuring compatibility of the downloaded files with their systems.

7. Professional Services

  1. Hourly or project-based services are billed as per mutually agreed scope and commercials.
  2. Timelines, deliverables, and responsibilities will be defined in a separate Service Agreement/Engagement Letter, where applicable.
  3. Our services are advisory/compliance support in nature and do not substitute for legal, financial, or statutory authority opinions.
  4. Customer must provide accurate, complete, and timely data/documents. We are not responsible for delays, penalties, or rejections due to incorrect/incomplete submissions by the customer.

8. Refund & Cancellation Policy

We follow a transparent and strict Refund & Cancellation Policy in compliance with Indian consumer and e-commerce regulations.

8.1 Digital Products

  • Due to the instant and irrevocable nature of digital downloads, no refunds, returns, exchanges, or cancellations will be entertained once a product has been purchased and download access has been granted.
  • This policy is necessary because digital files, once delivered, cannot be revoked or “returned.”
  • Customers are advised to review product descriptions and, where available, demo previews before purchase.

8.2 Professional Services

  • Service bookings are subject to the specific Engagement Agreement signed before commencement.
  • Cancellations are allowed only before service initiation, subject to deduction of administrative charges (10–20% of the total fee).
  • Once services have commenced (research, filing, drafting, or advisory hours consumed), no cancellation or refund is permitted.

8.3 Duplicate Payments & Technical Errors

  • In cases of duplicate payments, system errors, or technical failures, refunds may be processed after verification.
  • Refunds (if approved) will be issued within 7–14 working days through the original mode of payment.

8.4 Chargebacks & Disputes

  • Initiating unjustified chargebacks with banks/payment providers is a violation of these Terms.
  • We reserve the right to contest such chargebacks legally and recover associated costs.

9. Intellectual Property Rights

  1. All digital products, templates, guides, tools, and website content are the intellectual property of Prgenix and protected under the Indian Copyright Act, 1957, and applicable international treaties.
  2. Purchase grants a non-exclusive, non-transferable, single-user license for personal/business use.
  3. Redistribution, resale, sublicensing, or reproduction of our products/services, in whole or part, is strictly prohibited.

10. Data Protection & Privacy

  1. We are committed to protecting personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act).
  2. By using our website or services, you consent to the collection, processing, and storage of your data as per our Privacy Policy.
  3. Sensitive data shared for compliance filings (e.g., GST, ESG, EPR, CERT-IN, ISO) will only be used for service delivery and legal obligations.
  4. We do not sell or misuse customer data for unauthorised purposes.

11. Limitation of Liability

  1. All digital products and services are provided on an “as-is” and “as available” basis.
  2. We make no warranties (express or implied) regarding accuracy, completeness, fitness for a particular purpose, or uninterrupted access.
  3. To the maximum extent permitted by law, our liability is limited to the amount paid by the customer for the specific product/service in question.
  4. We are not liable for indirect, incidental, or consequential damages including loss of business, profits, or goodwill.

12. Indemnification

You agree to indemnify and hold harmless Prgenix, its directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising out of your misuse of products/services, violation of laws, or breach of these Terms.

13. Governing Law & Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of India.
  2. Any disputes shall be subject to the exclusive jurisdiction of the courts of U.P. India..

14. Amendments

We reserve the right to update or modify these Terms at any time without prior notice. The updated Terms will be posted on this page with a revised “Last Updated” date. Continued use of our website/products/services constitutes acceptance of the revised Terms.
